Welcome to Unesync, an accounting heavy ERP system provided by Uneminded Technologies Private Limited ("we" or "us"). These Terms and Conditions govern your use of the Unesync service, including any updates, new features, or enhancements, (the "Service") and constitute a legal agreement between you and us.


By using the Service, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you may not use the Service.


Service Usage 1.1 Eligibility The Service is available to individuals and entities that can form legally binding contracts under applicable law. If you do not meet this eligibility requirement, please do not use the Service.


1.2 Registration In order to use the Service, you must register for an account with us. During the registration process, you will be required to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.


1.3 Usage Restrictions You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all applicable laws and regulations in your use of the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or use it for any commercial purpose without our express written consent.


Payment and Fees 2.1 Fees In consideration for your use of the Service, you agree to pay us the applicable fees for the Service as described on our website or as otherwise agreed to in writing.


2.2 Payment Terms All fees are payable in Indian Rupees. You agree to pay all fees due upon receipt of an invoice. We reserve the right to suspend or terminate your access to the Service for non-payment.


2.3 Refunds Refunds will be provided in accordance with our refund policy, as described on our website.


Intellectual Property 3.1 Ownership All content and materials available through the Service, including without limitation, the Unesync software, text, graphics, logos, images, and audio clips, are the property of Uneminded Technologies Private Limited or our licensors and are protected by Indian and international copyright, trademark, and other intellectual property laws.


3.2 License We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes.


Termination 4.1 Termination by You You may terminate your use of the Service at any time by providing written notice to us at support@unesync.com


4.2 Termination by Us We may terminate your use of the Service at any time, with or without cause, by providing notice to you at the email address you provided during registration.


5.Disclaimer of Warranties The Service is provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.


6.Limitation of Liability In no event shall Unesync or its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; or (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. In no event shall the total liability of Unesync and its directors, officers, employees, agents, or affiliates to you for all damages, losses, and causes of action arising out of or relating to these terms or your use of the services (whether in contract, tort, warranty, or otherwise) exceed the amount paid by you, if any, for accessing the services during the twelve months immediately preceding the date of the claim or one thousand Indian Rupees, whichever is lesser. The limitations and exclusions of liability set forth herein shall apply notwithstanding the failure of any limited or exclusive remedy.


7.Intellectual Property Rights: a. The User acknowledges and agrees that all intellectual property rights in the Unesync Services, including any modifications or improvements to the Services, belong to Unesync.


b. Unesync grants the User a non-exclusive, non-transferable, limited license to use the Services for the User’s internal business purposes during the Term of this Agreement.


c. The User agrees not to copy, modify, create derivative works of, distribute, sell, transfer, assign, lease, sublicense, reverse engineer, or decompile the Unesync Services, or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Services or any software, documentation or data related to the Services.


d. The User retains all intellectual property rights in any data or information uploaded or entered by the User into the Unesync Services. The User grants Unesync a non-exclusive, worldwide, royalty-free license to use such data and information solely for the purpose of providing the Services to the User.


e. The User agrees not to use the Unesync Services to infringe any intellectual property rights of any third party.


f. Any unauthorized use of the Unesync Services or any content provided through the Services may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes.


g. Any use of the Unesync Services not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws.


h. Unesync reserves all rights not expressly granted to the User herein.


8. Indemnification You agree to indemnify, defend, and hold harmless Unesync and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, liabilities, damages, claims, demands, actions, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your use of the Unesync service, (ii) your violation of these Terms and Conditions, (iii) your violation of any rights of another, including any intellectual property rights, or (iv) your breach of any applicable law or regulation.


9. Governing Law and Dispute Resolution These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms and Conditions or the Unesync service shall be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in the English language in Chennai, India, and shall be conducted by a sole arbitrator appointed by Unesync. The award rendered by the arbitrator shall be final and binding on the parties, and judgment thereon may be entered in any court having jurisdiction thereof.


10. Miscellaneous These Terms and Conditions, together with the Privacy Policy and any other agreements or terms referenced herein, constitute the entire agreement between you and Unesync with respect to the use of the Unesync service. If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions. Unesync’s failure to enforce any right or provision of these Terms and Conditions shall not be deemed a waiver of such right or provision. The section titles in these Terms and Conditions are for convenience only and have no legal or contractual effect.
